Perkins Named Metrowerks’ President

25 OCTOBER, 1999; AUSTIN, TEXAS — Motorola today announced the appointment
of Metrowerks’ two most senior executives, Jean Belanger and Greg Galanos,
to strategic roles within Motorola Semiconductor Products Sector (SPS), and
the appointment of David Perkins as President of Metrowerks.

Belanger has served as Chairman and CEO of Metrowerks Inc. and Galanos, the
company’s founder, has served as President and Chief Technology Officer.
They both will report to the Office of the President of Motorola
Semiconductor Products Sector. Perkins previously has served as Senior Vice
President of Business Development at Metrowerks.

The changes in these executives’ roles were made to expand Motorola SPS’
software expertise and accelerate the integration of Metrowerks and SPS.

“One of Motorola’s major interests in acquiring Metrowerks was to quickly
gain the expertise needed to help us define and execute the software
strategy for enabling our DigitalDNA embedded solutions leadership,”
explained Fred Shlapak, Senior Vice President and Assistant to the
President, Motorola SPS.

“We knew we needed not only a comprehensive set of software tools, but also
a team that is experienced in working with our partners; people who will
ensure we are in tune with the distinctions and requirements of this
market,” Shlapak noted. “With Jean and Greg, the software industry will be
expertly represented in the Office of the President of the Semiconductor
Products Sector.”

Shlapak said that Belanger will focus on mergers and acquisitions across
the entire Sector, bringing to the task his extensive experience in venture
capital, financing and software company management. Prior to joining
Metrowerks – first as chairman of the board of directors in 1991 then, in
1995, becoming its CEO – Belanger was with Price Waterhouse in Canada and
France; vice president of corporate finance for Wood Gundy Inc.; founder
and president of MontRoyal Capital Inc., a high technology start-up venture
capital company in Montreal; and president and CEO of MicroTempus Inc., a
mainframe software company. He has a master’s degree in finance from the
London School of Economics.

Galanos, well known throughout the software industry, will develop the
software strategy for Motorola Semiconductor Products Sector, Shlapak
explained. Galanos founded Metrowerks in 1985 in Montreal. After obtaining
his master’s degree in computer science from the University of Quebec in
Montreal, he was a scientific advisor responsible for environmental
computer systems at Hydro Quebec, a power utility company.

Perkins joined Metrowerks in 1995 as Chief Financial Officer, becoming the
company’s Senior Vice President of Business Development the following year.
In this role, he was instrumental in developing Metrowerks’ strong
partnership with Motorola – a partnership that created the foundation for
the subsequent acquisition by Motorola. Other key partnerships developed
under Perkins’ direction include strategic alliances with many of the
industry’s Real Time Operating System (RTOS) vendors, software and hardware
tools providers, and semiconductor vendors. Prior to joining Metrowerks,
Perkins was an audit partner with Coopers & Lybrand, and developed
expertise in finance, sales, business development, and mergers and
acquisitions.

Belanger, Galanos and Perkins all remain on the board of directors of
Metrowerks Inc., which became a wholly owned subsidiary of Motorola on 24
September, 1999.
